Uber to Acquire ezCater for $2.3 Billion, Pushing Uber Eats Into B2B Corporate Catering

Uber Technologies has agreed to acquire ezCater, the Boston-based catering and workplace meals marketplace, in an all-cash transaction valued at $2.3 billion. The deal, announced on October 6, gives Uber Eats a large, established business-to-business ordering channel at a time when corporate food programmes are becoming a contested segment of the delivery market.

The companies said the transaction is expected to close in the coming months, subject to regulatory approvals and customary closing conditions. J.P. Morgan Securities is advising Uber, and Evercore is advising ezCater.

What Uber is buying

ezCater operates a marketplace through which businesses order food for meetings, events and recurring employee meal programmes. According to the deal announcement, the platform spans more than 140,000 restaurants across the United States and generated more than $2.5 billion in gross bookings over the trailing twelve months, growing at a high-teens percentage rate year on year.

The economics differ sharply from consumer delivery. Average order values on ezCater exceed $400, according to the companies, and the business is profitable on a non-GAAP operating income basis. Uber expects the acquisition to be margin accretive.

Founded in 2007, ezCater was bootstrapped for seven years before raising its first outside round of $4 million in 2014, making the sale a substantial exit for its backers.

The B2B foodservice logic

Uber plans to combine ezCater’s catering operations and enterprise relationships with the restaurant network of Uber Eats and the corporate client base of Uber for Business. The companies say restaurants will gain access to larger orders and new customers, organisations will get a simpler way to order for groups, and couriers will gain additional earning opportunities.

“Catering is a big business, and can be a huge revenue stream for restaurants,” Uber chief executive Dara Khosrowshahi said in a statement, adding that Uber’s reach could help restaurants win more of those orders.

For restaurant operators, catering orders are attractive because they are large, often scheduled in advance and easier to plan for in the kitchen than a stream of single consumer tickets. They also demand reliability: late or incomplete delivery of a 40-person lunch is far more costly to a client relationship than a delayed burrito. ezCater has built its proposition around that service layer, including round-the-clock customer support, and the integration test for Uber will be whether it can scale this without diluting it.

Part of a wider delivery consolidation

The purchase extends a run of large food delivery transactions by Uber. The company is also in the process of buying Delivery Hero, and it has invested in and partnered with drone delivery operators such as Zipline and Flytrex. Taken together, the moves point to a strategy of widening Uber Eats beyond on-demand consumer orders into higher-value, more predictable demand streams.

For the broader foodtech sector, the ezCater price tag is also a valuation marker. Specialist B2B ordering platforms with profitable unit economics and enterprise contracts are proving more attractive to strategic buyers than many consumer-facing delivery apps, whose margins remain thin.

What to watch

  • Regulatory review: the deal requires approvals before closing, and authorities are paying closer attention to concentration in delivery markets.
  • Restaurant terms: how commission structures and catering-specific tools change once ezCater is folded into Uber’s systems.
  • Enterprise integration: whether Uber for Business clients adopt catering through a single account, which would be the clearest sign that the cross-selling thesis is working.

For restaurant groups and foodservice suppliers, a larger, better-funded catering channel could lift order volumes, but it also places more of their B2B demand on a single dominant platform.
